1. Agreement to Terms

By accessing or using Lattice.one ("Service," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Service

Lattice.one provides intelligence infrastructure and research services, including but not limited to:

• Data aggregation and analysis
• Intelligence gathering and reporting
• Due diligence research
• Custom intelligence solutions

The specific services provided to you will be outlined in separate service agreements or statements of work.

3. User Accounts and Registration

To access certain features of our Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers
• Transmit any viruses, malware, or harmful code
• Impersonate any person or entity
• Collect or harvest information about other users
• Use the Service to harass, abuse, or harm others
• Reverse engineer, decompile, or disassemble any part of the Service

5. Intellectual Property

5.1 Our Property

The Service and its original content, features, and functionality are owned by Lattice.one and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Your Content

You retain all rights to any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Service.

5.3 Deliverables

Rights to any research, reports, or deliverables created for you will be specified in your service agreement. Unless otherwise stated, you will receive a license to use deliverables for your internal business purposes.

6. Payment and Fees

Certain aspects of the Service may be provided for a fee. You agree to pay all applicable fees as described at the time of purchase or as set forth in your service agreement.

• All fees are non-refundable unless otherwise stated
• Prices are subject to change with notice
• You are responsible for all taxes associated with your purchase
• Late payments may result in suspension of Service

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the service relationship. This obligation survives termination of the service agreement.

Confidential information does not include information that: (a) is publicly available, (b) was rightfully in possession prior to disclosure, (c) is independently developed, or (d) is required to be disclosed by law.

8. Disclaimers and Limitations

8.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATTICE.ONE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

8.3 Information Accuracy

While we strive for accuracy in our intelligence and research, we do not guarantee the completeness, accuracy, or timeliness of any information provided. You are responsible for verifying information before making business decisions based on our deliverables.

9. Indemnification

You agree to indemnify and hold harmless Lattice.one, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) any content you submit to the Service.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• At our sole discretion

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

11. Dispute Resolution

11.1 Informal Resolution

If you have a dispute with us, you agree to first contact us and attempt to resolve the dispute informally.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Lattice.one is registered, without regard to its conflict of law provisions.

11.3 Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with commercial arbitration rules, except where prohibited by law.

12. General Provisions

12.1 Entire Agreement

These Terms constitute the entire agreement between you and Lattice.one regarding the Service and supersede all prior agreements.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
